1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Milo AI ("Service", "Milo", "we", "us", or "our"). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Milo AI is an artificial intelligence-powered business automation platform that provides:

• AI-generated design creation for print-on-demand products
• E-commerce store management and optimization
• Product listing and publishing automation
• Business intelligence and analytics
• Integration with third-party platforms (Shopify, Printify, etc.)

3. User Accounts

3.1 Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms.

4. User Content and Generated Content

4.1 Your Content

You retain ownership of any content you upload to the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing the Service.

4.2 AI-Generated Content

Content generated by the Service using AI ("Generated Content") is provided to you for your use. You acknowledge that:

• AI-generated content may not be unique and similar content may be generated for other users
• You are responsible for reviewing Generated Content before use
• We do not guarantee that Generated Content is free from errors, appropriate for your intended use, or does not infringe on third-party rights
• You assume all responsibility for how you use Generated Content

4.3 Intellectual Property

You represent and warrant that you have all necessary rights to any content you upload and that your use of the Service does not violate any third-party intellectual property rights, including trademarks, copyrights, or patents.

5. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Generate or distribute harmful, offensive, or illegal content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service
• Use automated means to access the Service without permission
• Resell or redistribute the Service without authorization
• Generate content that violates third-party platform terms of service

6. Third-Party Integrations

The Service integrates with third-party platforms including but not limited to Shopify, Printify, Ideogram, and others. Your use of these integrations is subject to:

• The respective terms of service of each third-party platform
• Any API usage limits or restrictions imposed by third parties
• Our ability to maintain integrations, which may change without notice

We are not responsible for the actions, content, or policies of any third-party platforms.

7. Payment and Billing

7.1 Subscription Fees

Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

7.2 Billing

Subscription fees are billed in advance on a recurring basis. You authorize us to charge your payment method for all fees incurred.

7.3 Refunds

Refunds are handled on a case-by-case basis. Contact support for refund requests.

8. Disclaimers

We specifically disclaim:

• Any warranty of merchantability, fitness for a particular purpose, or non-infringement
• Any warranty that the Service will be uninterrupted, secure, or error-free
• Any warranty regarding the accuracy, reliability, or quality of AI-generated content
• Any warranty regarding sales, revenue, or business outcomes from using the Service

9. Limitation of Liability

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Milo AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload or generate using the Service

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
